These are the terms and conditions (the ‘Terms‘) for the use of the Etched website (https://www.etched.xyz/) (the ‘Website‘). 

Please read these Terms carefully before using the Website. These Terms tell you the rules for using the Website. By using the Website, you agree to be bound by the Terms. If you do not accept these Terms, do not use the Website.

   1. We are Etched Tech Limited (‘Etched‘, ‘we‘ or ‘us‘). We are a company registered in England & Wales under Company Registration Number 14900487. Etched’s registered office address is: 33 Holness Road, London, England, E15 4EN.

   1. We provide this Website to you on the basis of these Terms. These Terms may be updated by us from time to time by posting the updated Terms on the Website without prior notification to you. When you access the Website at any time in the future, such updated Terms then in force shall apply. You should check the Terms for updates each time you access the Website.
   2. We may update and change our Website from time to time to reflect our users’ needs and our business priorities.
   3. The Website is provided to you at no charge. We do not guarantee that the Website will always be available or be uninterrupted. We may suspend or restrict of availability of all or any part of the Website for business or operational reasons. Any support provided to you is for information purposes only. We reserve the right to make changes to the Website at any time; or not to reply to any queries; or not provide support in connection with the Website.
   4. You understand and agrees that the Website are provided “as is” and Etched and its suppliers expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement. Unless otherwise specified in these Terms, Etched makes no warranty or representation regarding: (i) the accuracy or reliability of any information obtained through the Website; or (ii) the Website meeting any requirements or being uninterrupted, timely, secure or error free.
   5. You are responsible for configuring your information technology, computer programs and platform to access our Website. You should use your own virus protection software. Etched does not guarantee that our Website will be secure or free from bugs or viruses. You are also responsible for ensuring that all persons who access the Website through your internet connection are aware of these Terms and that they comply with them.
   6. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our Website security procedures, you must treat such information as confidential. You must not disclose it to any third party.
   7. Although we make reasonable efforts to update the information on our Website, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date.
   8. We are not responsible for websites or third party resources we link to and we have no control over the contents of those websites or resources. Where our Website contains links to other websites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them and it is your responsibility to review any terms and conditions for any linked websites.

This information and these materials have not been verified for accuracy or completeness, nor have they been endorsed or approved by Etched. The views expressed by any third parties on our Website do not necessarily represent our views or values. 
3. Availability of products and services

Any products or services available for purchase from Etched are provided on our platform terms and conditions of sale. You will need to accept the relevant platform terms and conditions of sale in order to purchase the applicable products and/or services. 

4. Use of the Website
   1. You are not permitted to use the Website for any immoral, illegal, abusive or harmful purposes, or in any way that harms the reputation of Etched. We reserve the right to at any time prevent you from using the Website for any reason, including if we have reasonable belief that you are in breach of these Terms. 
   2. You must not misuse the Website in a way that may impair the performance, corrupt the content or otherwise reduce the overall functionality of the Website or by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Website, the server on which the Website is stored or any server, computer or database connected to the Website. You must not attack the Website via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence. Etched will report any such breach to the relevant law enforcement authorities and Etched will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Website will cease immediately.
   3. In using the Website, you agree to: (i) where applicable, provide and maintain correct and up-to-date information about yourself when you use the Website; (ii) not to license, sell, rent, lease, transfer, assign, distribute, display, disclose or otherwise commercially exploit or otherwise make the Website available to any third party (except in accordance with these Terms); (iii) not to access all or any part of the Website in order to build a product or service which competes with the Website and/or Etched’s products and/or services; (iv) not to attempt to copy, modify, translate, adapt, create derivative works of, display, transmit or distribute all or any part of the Website; (v) not to attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Website; (vi) not to use, display, mirror or frame the Website, or any individual element within the Website, our name, any Etched trade mark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without our express written consent; (vii) not to use any robot, spider, other automatic device or manual process to monitor, download, copy or keep a database copy of the content made available through the Website; and (viii) not use any Website material, individual element, or our name, any Etched trade mark, logo or other proprietary information, or the layout and design of any part of the Website to create, train, fine-tune or otherwise improve any artificial intelligence model, nor assist any third party in relation to the same. 
   4. You may only link to the home page of the Website where Etched has provided its express prior written permission. Any link must not suggest any form of association, approval or endorsement by Etched, where no such association, approval or endorsement exists. Etched reserves the right to withdraw any such linking permissions without notice.
   5. You must inform Etched immediately if there has been any breach of security in connection with your usage of the Website. To the extent permissible by law, Etched is not liable for any loss or damage suffered as a result of any such unauthorised use. 
5. Intellectual property rights
   1. Etched is the owner or the licensee of all intellectual property rights in the material on the Website. Etched or its licensors own all intellectual property rights in any data created by or on behalf of Etched. All such rights are reserved.  
   2. Subject to your compliance with these Terms, Etched grants to you a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Website for your personal, non-commercial use.   
   3. All intellectual property rights in information you provide to Etched shall remain owned by you or the relevant third-party owner. By agreeing to these Terms, you grant Etched a royalty-free, worldwide, transferable, non-exclusive, perpetual, irrevocable and sub-licensable licence to de-identify, use, copy or otherwise utilise the information to the extent necessary or desirable to provide the Website and to improve Etched’s products and services (including training artificial intelligence and machine learning technologies, improving our products, services, operations and systems, combining data with other data sets, and/or deriving benchmarks and other analysis and statistics) provided that the information does not, and could not reasonably be used to, relate back to or identify you. Any intellectual property rights in data, analysis and improvements derived from our use of information you provide shall be owned by Etched.
   4. You grant to Etched a royalty-free, worldwide, transferable, sub-licensable, irrevocable, perpetual and non-exclusive license to use, copy or otherwise utilise any feedback you send to Etched to the extent necessary to provide the Website and to improve Etched’s products and services (including training artificial intelligence and machine learning technologies, improving our products, services, operations and systems, combining data with other data sets, and/or deriving benchmarks and other analysis and statistics). 
   5. Nothing in these Terms grants you any legal rights in the Website other than as necessary for you to access it, except as otherwise expressly stated in these Terms. You agree not to adjust, try to circumvent or delete any notices contained on the Website (including any intellectual property notices) and in particular, in any digital rights or other security technology embedded or contained within the Website. 
6. Limitation of liability

Whether you are a consumer or a business user

1. To the maximum extent permitted by applicable law, Etched shall not be liable or responsible to you for any losses resulting from: (i) your breaching of these Terms or otherwise having acted unlawfully; (ii) any legal or regulatory requirement imposed on Etched; or (iii) any actions beyond Etched’s control including, but not limited to, strikes, work stoppages, pandemics, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes, loss or malfunctions or utilities, communications or computer (software and hardware) services. 
2. Nothing in these Terms shall limit our liability to the extent that such liability cannot be excluded or limited under any applicable law.

If you are a consumer

3. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking our contract with you or our failing to use reasonable care and skill. Loss or damage is foreseeable when it is obvious that it will happen.
4. We are not liable for business losses. Etched has no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. 

If you are a business user

5. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: (i) your use of, or inability to use, the Website or (ii) your use of or reliance on any content displayed on the Website. 
6. Other important information
   1. Data protection. Etched will only use your personal information as set out in its privacy notice, which is available via the Website.
   2. Assignment and other dealings. Etched may at any time transfer (by way of assignment or novation) these Terms upon written notification or general notice on the Website (and you consent to any such transfer). Etched may also assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any of Etched’s rights and obligations under these Terms. You may only transfer your rights or obligations under the Terms to another person if we agree to this in writing. 
   3. Severability. Each of the sections and paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining sections and paragraphs will remain in full force and effect.
   4. Waiver. If you breach these Terms and we take no action, or if we delay in taking action, that does not mean that we have waived our rights and we shall be entitled to exercise our rights and remedies. If we waive such a breach, we will only do so in writing (signed by one of our directors), and that shall not mean that we will automatically waive any later breach of these Terms by you.
   5. Entire agreement. These Terms constitute the entire agreement between you and Etched and they supersede any and all earlier agreements between you and Etched.
   6. Variation. No variation of the Terms is effective unless in writing and signed by you and us, or our authorised representatives.
   7. Governing law and jurisdiction. These Terms are governed by English law and you can bring legal proceedings in respect of the Terms in the English courts. Additionally, if you are a consumer living in Scotland, you can bring legal proceedings in respect of the Terms in either the Scottish or the English courts; or if you are a consumer living in Northern Ireland, you can bring legal proceedings in respect of the Terms in either the Northern Irish or the English courts.
